These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“Client”) and Scoped LLC (“Scoped,” “we,” “us,” or “our”) regarding the provision of services by Scoped. By engaging Scoped’s services or approving any Deliverables, you acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you must refrain from engaging Scoped’s services.
1. Definitions
- Scoped: Refers to Scoped LLC, a consulting company providing business-focused technology solutions.
- Client: Refers to the individual, entity, or organization engaging Scoped LLC for services.
- Services: Refers to all consulting, planning, or advisory services provided by Scoped, including but not limited to Project Blueprints, discovery sessions, and technical recommendations.
- Deliverables: Refers to any tangible outputs provided to the Client as part of Scoped’s services, including but not limited to Project Blueprints and Scope of Work (SoW) documents.

Scoped will perform Services as outlined in agreements, Project Blueprints, or other written documentation. Services will be delivered using reasonable skill, care, and diligence to meet the Client’s stated goals. Deliverables provided by Scoped are designed to be detailed, actionable, and user-friendly, with sufficient detail to guide the Client or a third party in project implementation.
4. Payment Terms
- Engagement Fee: A $300 non-refundable engagement fee is required to begin work on any Project Blueprint. The fee must be paid in full before any research or design work is initiated.
- Additional Fees: Time spent beyond the initial engagement (e.g., revisions exceeding two drafts or out-of-scope work) will be billed at Scoped’s standard rate of $250/hour unless otherwise agreed in writing.
- Payment Due Dates: All invoices must be paid within 14 calendar days from the date of issuance unless otherwise specified. Late payments will incur a penalty of 3% per month or the maximum rate permitted by law.
- Upfront Payments: Scoped may require upfront payments for certain projects, as determined by the scope and complexity of the work.

The Client agrees to:
- Provide complete, accurate, and timely information required for Scoped to perform its services effectively.
- Review and approve Deliverables promptly or provide feedback within the agreed timeframe to avoid project delays.
- Pay all invoices as outlined in agreements or documentation.
Failure to fulfill these responsibilities may result in delays or additional fees.
7. Limitation of Liability
- Scoped’s liability is limited to the total amount paid by the Client for the specific services in question.
- Scoped is not responsible for:
- Errors, damages, or issues arising from the implementation of Deliverables by the Client or third parties.
- Outcomes resulting from modifications or deviations from Scoped’s Deliverables.
- Third-party software, systems, or services used by the Client.
8. Confidentiality
Both Scoped and the Client agree to protect and maintain the confidentiality of each other’s proprietary or sensitive information disclosed during the engagement. Scoped may use anonymized, non-identifiable project data to improve its services but will not disclose specific details without prior written consent.
9. Termination of Services
Scoped reserves the right to terminate the agreement immediately if the Client:
- Fails to make payments as required.
- Breaches these Terms.
- Engages in abusive, unethical, or unlawful behavior.
- Makes unreasonable changes to the project scope without following the agreed process.
Upon termination, Scoped will provide any completed Deliverables up to the termination date, provided all payments for these have been received.
10. Dispute Resolution
Any disputes arising under or in connection with this agreement will be resolved exclusively through binding arbitration conducted in Mt. Juliet, Tennessee. Each party will bear its own costs unless otherwise agreed.
11. Changes to Terms
Scoped reserves the right to update these Terms at its sole discretion. Changes will be communicated to the Client in writing before taking effect. Continued engagement with Scoped’s services or use of Deliverables constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.
